MAD Monkey Media - Brand Usage Agreement

Effective: May 19, 2026 · Version: 2026-05-19

By requesting and downloading any MAD Monkey Media brand assets ("Assets") through this Media Kit, You ("Recipient") agree to the following terms.

1. Limited License. MAD Monkey Media, LLC ("MMM") grants Recipient a limited, revocable, non-exclusive, non-transferable, royalty-free license to use the Assets solely for the Permitted Uses set forth below, in accordance with the Brand Guidelines.

2. Permitted Uses. (a) Editorial coverage, news, articles, blog posts that reference MMM accurately. (b) Partnership and joint-venture announcements where MMM has approved the announcement in writing. (c) Vendor/partner directories where MMM is a listed party. (d) Internal presentations where MMM is the subject. (e) YouTube ad shoutouts, podcast sponsor reads, and social-media tags using the approved copy templates herein.

3. Prohibited Uses. Recipient shall NOT: (a) Modify, alter, distort, recolor, stretch, crop the wordmark, or otherwise change the Assets except in proportional size. (b) Use the Assets to suggest partnership/endorsement/affiliation/sponsorship/approval by MMM where none exists. (c) Combine with unlawful, defamatory, obscene, harassing, infringing, hateful, discriminatory, or disparaging content. (d) Use in connection with adult content, gambling, firearms, illegal drugs, political campaigns, or religious endorsements. (e) Use as part of a product/service/domain/business name causing consumer confusion. (f) Sublicense/sell/rent/lease the Assets. (g) Register any trademark/service mark/domain incorporating or confusingly similar to MMM marks.

4. Trademark Ownership. Assets are the IP of MAD Monkey Media, LLC. Recipient acquires no ownership rights. Acknowledge MMM as source where reasonably possible.

5. Quality Control. MMM reserves the right to require Recipient to modify or discontinue any use that doesn't meet quality standards.

6. No Endorsement. Nothing here grants Recipient the right to claim MMM endorses or is affiliated with Recipient, except under a separate signed agreement.

7. Termination. License terminates automatically upon breach or MMM's written notice. Recipient must immediately cease use and destroy/return all copies.

8. DMCA / Misuse. MMM may issue DMCA takedowns and equivalent international notices. Repeat infringers reported to platforms; legal action may follow.

9. Indemnification. Recipient indemnifies MMM, its officers, directors, employees, agents, and affiliates from all claims arising from breach.

10. NO WARRANTY. ASSETS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. MMM DISCLAIMS ALL LIABILITY.

11. LIMITATION OF LIABILITY. MMM NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Governing Law. Governed by the laws of the State of Texas. Exclusive venue: state or federal courts in Dallas County, Texas.

13. Data Collection. MMM logs name, email, company, declared use, IP, user agent, referrer, and timestamp for legitimate-interest purposes. Request deletion: [email protected].

14. Entire Agreement. This Agreement + Brand Guidelines = entire understanding.

15. Severability. If any provision is unenforceable, the rest remains in force.

By accepting, Recipient confirms reading this Agreement in full, having authority to bind, and accepting the terms.
